Important:

This Agreement may be operative while monetisation, payouts, adult-content capability or other creator features remain disabled. Publication does not switch on a disabled feature.

1. Parties and scope

This Creator Agreement is between VyuMee Ltd, company number 17439372, registered office 167–169 Great Portland Street, 5th Floor, London, W1W 5PF (“VyuMee”, “we”, “us”, “our”) and the person or legal entity that completes VyuMee creator onboarding (“Creator”, “you”, “your”).

It supplements the Terms of Service, Acceptable Use & Prohibited Content Policy, Community Guidelines, Privacy Notice and any other operative policy expressly incorporated into this Agreement. A more specific creator, payment, adult-content or Founding Creator term governs its specific subject to the extent of any conflict.

2. Creator eligibility and authority

You must be at least 18 years old to activate a Creator account or creator monetisation capability, provide accurate onboarding information and have legal capacity and authority to enter this Agreement. If you act for an entity, you confirm authority to bind it.

VyuMee may require identity, age, business, tax, seller, payout or other verification. You must not use false, borrowed, altered or fraudulently obtained identity, tax, payment or verification information.

3. Independent creator relationship

You decide what lawful content to create, when to create it and whether to offer permitted creator services or digital content. Nothing in this Agreement by itself creates employment, worker status, partnership, joint venture, franchise or agency. You have no authority to bind VyuMee. This does not override any status or right applicable law independently requires based on the true relationship.

4. Creator onboarding and activation gates

VyuMee may require acceptance of creator terms, age/identity verification, KYC/business verification, payout onboarding, tax and digital-platform seller information, moderation/safety review, store/payment/geographic eligibility and any additional adult-content verification. A capability remains unavailable until its applicable gates are satisfied. Monetisation and payouts may remain fail-closed even where a Creator account exists.

5. Your content

You retain ownership of intellectual-property rights you hold in Creator Content. You grant VyuMee a worldwide, non-exclusive, royalty-free licence, for as long as reasonably required to operate VyuMee and subject to applicable law, to host, store, reproduce, encode, resize, transcode, display, communicate, distribute and technically process Creator Content for providing, securing, moderating, promoting and improving the service.

This licence does not transfer ownership to VyuMee. It includes technical rights reasonably necessary for previews, thumbnails and permitted promotional extracts. Residual copies may remain for limited periods in backups, legal records, transaction evidence, safety evidence or other justified retention systems. You must have all rights, permissions and consents required for what you upload or sell.

6. Content and conduct rules

You must comply with the operative AUP and Community Guidelines and ensure content you publish, offer, sell or send is lawful and does not infringe third-party rights. VyuMee may use automated and human moderation, restrict distribution, hold content, remove content or apply enforcement.

Adult/explicit functionality, if later enabled, is WEB-only and subject to separate adult-content, age-assurance, performer age/identity/consent and payment-provider requirements. Creator or Founding status does not activate adult functionality.

7. Fan transactions and creator obligations

Where a fan purchases Creator Content, a subscription or another permitted Creator offering, the applicable Contract Between Fan and Creator forms part of that transaction relationship unless the relevant store or transaction structure lawfully provides otherwise.

You must accurately describe paid offerings and deliver what was promised, subject to lawful moderation, outages and mandatory rights. Do not mislead fans about availability, pricing, recurring charges, cancellation, access, scarcity, results or benefits.

8. VyuMee platform fees

VyuMee's platform fee is determined by the applicable creator tier: Creator 15%, Pro 12%, and Elite 9%. Premier or another manually assigned status does not alter those percentages unless an operative commercial term expressly says so.

For valid Founding Creators, the Founding rules apply, including the permanent Pro/12% floor while Founding status remains valid and the ordinary Elite/9% threshold where applicable.

Apple, Google, payment-processor, tax or other transaction costs do not reduce VyuMee's platform fee. They may reduce Creator net where operative transaction rules allocate them to the Creator.

9. Creator net and transaction deductions

Creator net = transaction base − VyuMee platform fee − applicable store/payment costs − creator-borne adjustments.

Accounting records must distinguish gross customer payment, tax, VyuMee platform fee, store/processor fee, refunds/chargebacks and Creator net. Channel prices may differ where permitted, including higher iOS pricing where appropriate to preserve approximately the Creator's web-equivalent net.

10. Refunds, reversals and chargebacks

Refunds and reversals reverse the associated VyuMee platform fee proportionally. Chargeback/dispute costs default to the Creator-side transaction balance unless an operative fraud, platform-error or other policy requires another allocation.

VyuMee may reserve, offset or delay otherwise payable balances where reasonably necessary for refunds, chargebacks, fraud, legal obligations, sanctions, provider restrictions or unresolved transaction disputes, subject to operative payment terms and applicable law.

11. Payouts and payment providers

VyuMee intends, where reasonably possible, to use regulated payment/store providers so customer funds and Creator settlement are handled within the selected provider architecture rather than VyuMee directly holding client money. No payout right arises until a transaction is valid, settled and eligible under the operative rules.

12. Taxes and seller information

You are responsible for your own tax obligations except where law requires VyuMee, a store or payment provider to collect, deduct, withhold or account for tax. You must provide accurate information reasonably required for tax, seller-reporting, invoicing, payout and legal-compliance purposes and keep it up to date.

Where digital-platform reporting rules apply, VyuMee may collect, verify and report information about you and your transactions to HMRC or another competent authority and provide you with a copy where required.

13. Creator tiers and status

Creator tiers and badges are platform status indicators, not property, equity or transferable assets. VyuMee may correct a status assigned through fraud, duplicate identity, system error or invalid data. Founding Creator status is governed by the separate Founding Creator Addendum.

14. Advertising, sponsorship and branded content

You must comply with the Creator Advertising & Branded Content Rules and applicable advertising/consumer law. Commercial relationships must be disclosed clearly and prominently where required. VyuMee may require labels, restrict categories, request substantiation, remove non-compliant advertising or suspend branded-content capability.

15. Intellectual-property complaints

VyuMee may act on copyright, trade-mark or other rights complaints and restrict/remove affected content while reviewing. You must reasonably cooperate with legitimate rights investigations. Repeated or serious infringement may lead to restrictions or termination.

16. Moderation, creator restrictions and appeals

VyuMee may warn, strike, restrict, suspend or terminate a Creator account or specific capabilities where reasonably necessary for safety, legal compliance, fraud prevention, policy enforcement, provider requirements or service protection. Where appropriate, monetisation or payouts may be suspended without suspending ordinary account access.

VyuMee maintains complaint and appeal routes. Urgent safety action may take effect before an appeal is decided. A successful appeal may restore access/capabilities but does not require restoration of content that cannot lawfully or safely be hosted.

17. Security and account responsibility

Protect account credentials and notify VyuMee promptly about suspected compromise. Do not sell or transfer account access, verification status, Founder status or creator privileges without written agreement.

18. Privacy and confidential information

VyuMee processes personal data under its Privacy Notice. Do not misuse personal data obtained through VyuMee. Restricted creator-operational information must be used only for its permitted purpose.

19. Availability and changes

VyuMee may change/discontinue features, integrations, providers or delivery methods. Material contractual changes will receive appropriate notice/reacceptance where required. Pre-launch/beta functionality may change more frequently and may remain unavailable.

20. Term and termination

This Agreement applies from valid acceptance while you have Creator status. You may stop creator functionality or close your account subject to outstanding transactions, legal retention and cancellation obligations. VyuMee may suspend/end creator capability for material breach, serious/repeated safety violations, fraud, unlawful activity, failed verification, provider restrictions or other permitted grounds.

Provisions that need to survive—including accrued payment obligations, transaction evidence, intellectual property, disputes and lawful records—continue to the necessary extent.

21. Liability and consumer rights

Nothing excludes or limits liability where unlawful, including fraud or fraudulent misrepresentation, or rights that cannot lawfully be excluded. Nothing removes mandatory rights a fan may have against a Creator or other transaction party.

23. Assignment

You may not transfer this Agreement or Creator account without VyuMee's prior written agreement. VyuMee may transfer this Agreement as part of a genuine corporate reorganisation, merger or relevant business sale, subject to law.

24. General

If a provision is unenforceable, the remainder continues to the extent legally possible. A failure to enforce immediately is not necessarily a waiver. No third party is intended to enforce this Agreement unless an operative term expressly says otherwise.

25. Governing law and jurisdiction

This Agreement is governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, subject to any mandatory consumer, employment-status or other jurisdictional protection that cannot lawfully be excluded.

26. Electronic acceptance

VyuMee requires affirmative electronic acceptance of the current operative Creator Agreement before creator activation or monetisation readiness. VyuMee may record the exact version/digest, account identifier, timestamp, context, method and client surface as evidence.
